In the matter of Jhabua Power Investments Limited, the office of registrar of companies, NCT of Delhi and Haryana ordered penalty for non-compliance and violation of Section 149 (1), Rule 3 of the Companies Act. Section 149 (1), Rule 3 is related to the appointment of woman director in a company.
“Every listed companies are required to appoint atleast one-woman director within the period of six months from the date of its incorporation.
Public companies having paid up share capital of Rs. 100 crores or more or turnover of Rs. 300 crore or more as per the latest audited financial statements, shall also appoint at least one-woman director within 1 years from the commencement of second proviso to Section 149(1) of the Act.”
As per the provisions, company defaulted for the non-appointment of women director in their company and penalized for Rs. 4,76,000 and directed to rectify the default immediately.
